General Terms and Conditions of Sale


Prices are per metre, excluding VAT.

Application of Terms

Save for any variation expressly agreed in writing and signed by a director or authorised person of the Company the Contract shall be on these conditions to the exclusion of all other terms and conditions (including any terms or conditions which the Buyer purports to apply under any purchase order, confirmation of order, specification or other document).

Each order or acceptance of a quotation for Goods by the Buyer from the Company shall be deemed to be an offer by the Buyer to buy Goods subject to these conditions.

An accepted order may only be cancelled or varied with the Company’s consent.

The Buyer shall ensure that the terms of its order are complete and accurate.

Settlement Terms

All accounts are payable no later then 30 days from date of invoice, if paid within 7 days a 2½% discount applies. No other discounts are allowed.

Pro-forma Accounts

All "Pro-forma" accounts are strictly nett cash/cheque against "Pro-forma" invoice. All cheques must be cleared through our bank before orders are dispatched.

Cut Length

Our minimum cut length is 1m. We cut to the nearest 10cms.

Carriage and Handling

Deliveries are made by carrier.

For deliveries within the United Kingdom mainland stock orders received before 12 noon we will endeavour to despatch the following working day however, this cannot be guaranteed. Please contact the Sales Department if you require a special delivery service.

Deliveries outside the United Kingdom mainland will be charged equivalent to the incurred cost and delivery times may vary.


The quantity of any consignment of Goods as recorded by the Company on despatch from the Company's place of business shall be conclusive evidence of the quantity received by the Buyer on delivery unless the Buyer can provide conclusive evidence proving the contrary. Claims for non-arrival must be made within seven days of our invoice date.

Any liability of the Company for non-delivery of the Goods shall be limited to replacing the Goods within a reasonable time.

Colour Matching

Whilst every effort is made to ensure the closest possible colour match to our pattern book and other samples, we cannot guarantee to match every shade exactly.


Always make allowances for possible shrinkage when making up curtains and loose covers. Any materials not offered as pre-shrunk or fixed-finished, tend to shrink when laundered or cleaned and can also show movement in certain atmospheric conditions. A 5-6% shrinkage is considered normal for fabrics not claimed to be shrink-resistant. Even after pre-shrinking, a fabric may still shrink up to 3%. For curtains we recommend generous hems, loosely stitched, in case alterations become necessary.


Instructions, where given should be followed carefully. This is particularly important because of the various fibres and finishes now available. Do not hesitate to ask if in doubt.

Please note: Fire Retardant back-coated fabric for upholstery must be dry-cleaned in situ. Fabric which has been treated for curtains or bedspreads and is dry cleanable must not be wetted out. If the fabric has been wetted out, in any way, it must be retreated for flammability.

It is most important that fabrics are dry-cleaned or washed (as specified) regularly to avoid becoming badly soiled. Remember soiling can prematurely weaken your fabric, cause fading of even the fastest dyes and affect flammability.


No claims or returns whatsoever can be accepted for any error once the fabric has been cut. Always check the fabric before cutting to ensure it is correct in every aspect and is to your satisfaction, if in doubt, do not cut; but contact our Sales Office.

Delivery Date

The company will do its best to dispatch orders promptly, but in the event of late deliveries the company will take no responsibility for any consequential loss incurred.


  1. No fabric will be accepted for return, for any reason, once it has been cut. No fabric will be accepted for return without prior authorization from our Sales Office. We reserve the right to impose a 50% handling charge on any returns.
  2. With any returns it is essential that a debit note or letter be enclosed with the parcel, giving all details, including invoice or order number.
  3. All parcels must be properly packed and the name and address of the consignee clearly marked.

Limitation of Liability

All goods are supplied by us on the condition that our liability for any fault or defect in the condition, description, fitness or quality for any purpose is limited in amount to a sum not exceeding the wholesale value purchase price of the particular goods.


We reserve the right to withdraw fabrics and alter our prices, trading terms or conditions without prior notice.

Retention of Title

Notwithstanding delivery and the passing of risk, property in and title to the goods shall remain with the seller until the seller has received payment of the full price of all goods subject of the contract and all other goods supplied by the seller to the buyer under any contract whatsoever.

Payment of the full price shall include, without limitation, the amount of any interest or other sum payable under the terms and conditions of this and all other contracts between the seller and the buyer.

Add-on Treatment

No liability will be accepted for changes in appearance, performance or defects of any of our fabrics if they are treated after purchase, by spraying or processing of any kind, for any reason whatsoever, including flame-proofing or the application of stain-repelling treatments
